Terms and Conditions

1. Scope and contracting party

(1) These Terms and Conditions ("Terms") govern the use of the Pendrai web application (the "Service") by registered users ("Users").

(2) The provider of the Service and contracting party is Marcel René Stoni, sole proprietor, Adi-Dassler-Gasse 2, 9073 Klagenfurt am Wörthersee, Austria, email: business@pendrai.com (the "Provider"). Further details are set out in the Legal Notice.

(3) By registering, the User accepts the version of these Terms in force at the time of registration. The User's differing terms do not apply, even if the Provider does not expressly object to them.

(4) The Service is directed both at consumers within the meaning of the Austrian Consumer Protection Act (KSchG) and at businesses. Provisions that apply only to consumers or only to businesses are identified accordingly.

2. Description of the Service

(1) Pendrai is a web-based application for the personal administration and monitoring of a securities and cryptocurrency portfolio. In particular, the Service includes recording and importing purchases, sales and dividends across multiple portfolios (manually, via CSV or, where available, through supported broker interfaces), price and performance displays with key figures, watchlists, a dividend calendar, market overview, dashboard, calculators and PDF evaluations of the User's own data.

(2) The Service is offered in two tiers: (a) a free basic version with limited features (for example one portfolio and a limited watchlist), funded by advertising. Ads are loaded only after the relevant consent; see the Privacy Notice. (b) a paid Premium tier with extended features and no advertising. The current scope of both tiers is described in the application.

(3) Premium is currently not available for paid purchase and can only be activated using the Provider's promotional codes. A paid contract is concluded only through the User's express order in accordance with section 6.

(4) The Service may evolve. The Provider may change, add or discontinue individual functions where this is reasonable for the User and does not materially impair the core purpose of the Service (portfolio overview).

3. Registration and user account

(1) Use requires a user account with an email address and password. The email address must be confirmed using a verification link sent to the User.

(2) Users must provide truthful information on registration and keep it up to date.

(3) Users are responsible for keeping their access credentials confidential and are liable for actions taken using them unless they are not responsible for the unauthorised use. Any suspected unauthorised use must be reported to the Provider without delay.

(4) A user account is not transferable. Paid services may be ordered only by persons with full legal capacity.

4. User obligations

Users are responsible for the accuracy of data they enter or import (purchases, sales, purchase prices and portfolios). For broker credentials and API keys, Users decide which permissions to grant; read-only permissions are recommended. The Provider stores such credentials encrypted and uses them only for the synchronisation configured by the User.

5. Data sources, availability and liability

(1) No investment or tax advice. Pendrai provides a technical overview only and does not provide investment, financial or tax advice. Key figures, evaluations (including tax-related overviews), calculators and forecasts (for example estimated dividend dates) do not replace individual advice from an authorised professional and are not a recommendation to buy or sell financial instruments. Use is at the User's own risk. Historical values and performance do not guarantee future results.

(2) Third-party market data. Price, dividend and exchange-rate data originate from third-party providers, including Twelve Data, CoinGecko and Frankfurter/European Central Bank. The Provider has no influence over their completeness, accuracy, timeliness or availability and gives no warranty for them. Prices may be delayed or temporarily out of date; estimates are marked as such and may differ from the actual payment.

(3) Availability. The Provider aims for high availability but does not guarantee any particular availability. Maintenance, third-party interface outages and events outside the Provider's control may cause temporary restrictions.

(4) Liability. The Provider is fully liable for intent, gross negligence, injury to life, body or health and under mandatory product-liability law. In cases of slight negligence, the Provider is not liable to businesses and is liable to consumers only for breach of essential contractual obligations, limited to foreseeable damage typical for the contract. Liability to businesses for indirect losses and loss of profit is excluded. Mandatory statutory liability remains unaffected.

(5) The Provider is not liable for loss arising from incorrect or incomplete entries or imports by the User, such as incorrectly recorded purchase prices.

6. Premium subscription

(1) Prices. Premium is offered as a monthly or annual subscription. The currently intended prices are €4.99 per month and €49.99 per year. The price shown before ordering is decisive. All prices are final prices.

(2) Order, correction and payment. Before placing an order, the selected plan, billing period, total price per period, automatic renewal and cancellation option are displayed. Entries can be reviewed and corrected before the binding order is submitted. The contract is concluded by clicking the button clearly labelled as creating a payment obligation and completing payment successfully. Payment is processed by Stripe; see section 10 of the Privacy Notice. The User receives contract confirmation by email. Payment is due at the beginning of each billing period.

(3) Digital service and statutory remedies. Statutory remedies for digital services apply to Premium. Users should report apparent defects via the support address so that we can investigate and remedy them promptly; statutory rights are not restricted by this.

(4) Term and renewal. The subscription renews automatically for the same period (month or year) unless cancelled.

(5) Cancellation. Users may cancel at any time with effect at the end of the current billing period, through subscription management in Settings or by email to the Provider. Premium remains usable until the end of the paid period; the free basic version then applies. No pro-rata refund is made for the current period except in the case of withdrawal under section 7 or if the Provider discontinues the Service early under section 10(4).

(6) Payment problems. If a charge fails, the Provider may end Premium access after a reasonable grace period; the basic version remains usable.

(7) Price changes. A change to the price of an existing subscription applies only to future billing periods and requires the User's express consent. The Provider will notify the User by email at least four weeks before it takes effect. If the User does not consent, the subscription ends at the end of the current billing period.

(8) Promotional codes. A promotional code may activate Premium for the stated period. Codes are non-transferable and cannot be redeemed for cash. After expiry, the basic version applies and no subscription is created.

7. Right of withdrawal for consumers (Premium subscription)

Consumers have the right to withdraw from a Premium subscription contract within 14 days without giving any reason. The withdrawal period is 14 days from the day the contract is concluded. To exercise the right of withdrawal, the consumer must inform the Provider (Marcel René Stoni, Adi-Dassler-Gasse 2, 9073 Klagenfurt am Wörthersee, Austria, email business@pendrai.com) of the decision to withdraw by an unambiguous statement, for example by email. The model form below may be used but is not mandatory. Dispatching the notification before the end of the period is sufficient.

Consequences of withdrawal: If the consumer withdraws, the Provider will reimburse all payments received without undue delay and no later than 14 days after receiving the notice of withdrawal, using the same means of payment used for the original transaction. Where the consumer expressly requested that the service (activation of Premium) begin during the withdrawal period, the consumer must pay an appropriate amount corresponding to the pro-rata value of the service provided up to withdrawal compared with the full billing period. Immediate commencement and this notice are confirmed separately before ordering.

8. Intellectual property

(1) Pendrai's content, design, logos and software are protected by copyright and are the property of the Provider or its licensors.

(2) Users receive a simple, non-transferable right to use the Service only as intended. Any further use, reproduction or distribution requires prior consent from the Provider.

(3) All rights in data entered or imported by the User remain with the User. The Provider processes those data solely to provide the Service in accordance with the Privacy Notice.

9. Privacy, support and quality improvement

(1) Information about the processing of personal data, legal bases and your rights is available in the Privacy Notice.

(2) The Provider may access and process account, portfolio, depot and usage data only to the extent necessary in an individual case to provide the Service, provide requested support, analyse and fix errors, ensure security and abuse prevention, or assess and improve the performance, stability and functioning of the Service. Such access is purpose-limited and restricted to data required for that purpose.

(3) For platform-wide analysis, capacity planning, quality control and feature development, the Provider uses aggregated or anonymised data where possible. Such analyses may be published, used in reports or presentations, or shared in response to enquiries from interested third parties (for example media, market participants or researchers) only after Pendrai has had at least 1,000 active user accounts in the preceding 30-day period. They are carried out without personal reference or inference about individual users or portfolios; small or identifiable groups are not evaluated or published. Personal or pseudonymised data are processed for this purpose only where necessary for a specific technical, security or quality purpose and permitted by data-protection law.

(4) Access or processing for private purposes, sale of personal data, disclosure of personal portfolio or transaction data for independent use by third parties, or personalised advertising based on such data does not take place. This does not affect the use and disclosure of genuinely anonymised aggregate statistics under paragraph 3. No automated decision producing legal or similarly significant effects for Users is made solely on the basis of these data.

10. Term and termination

(1) The user contract for the free basic version is concluded for an indefinite period.

(2) Users may cancel and delete their account at any time without giving reasons or notice, either in Settings under “Account” and “Delete account” with password confirmation, or by an informal message from the account email address to business@pendrai.com. Deletion is final; the Privacy Notice explains which data are deleted. A current Premium subscription is ended on deletion and no further charges are made. There is no refund claim for a paid but unexpired billing period; the withdrawal right under section 7 remains unaffected. Users who want to use Premium until the end of the paid period should first cancel only the subscription under section 6(5).

(3) The Provider may terminate the user relationship with immediate effect after a warning in the event of a breach of section 4, and without warning in the event of serious breaches, by blocking the account. The Provider may also terminate free use with four weeks' notice.

(4) The Provider may discontinue the Service as a whole with at least four weeks' prior notice; Users will have an opportunity to request their data. Paid Premium fees for periods after discontinuation will be refunded on a pro-rata basis.

11. Changes to these Terms

(1) The Provider may amend these Terms for the future where necessary to adapt to changed legal requirements, technical developments of the Service or comparable objective reasons, and where this remains reasonable for the User.

(2) Users will be informed of changes by email or notice in the application at least four weeks before they take effect. If the User does not object within that period, the amended Terms are deemed accepted; the notice will specifically draw attention to this consequence and the right to object. If the User objects, either party may terminate the contract when the changes take effect.

(3) Changes to the main contractual service or the price of an existing Premium subscription require the User's express consent; see section 6(7).

12. Final provisions

(1) Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods and conflict-of-law rules. If the User is a consumer habitually resident in another EU Member State, mandatory consumer-protection provisions of that state remain unaffected.

(2) For disputes with businesses, the court with subject-matter jurisdiction at the Provider's seat in Klagenfurt has jurisdiction. Statutory venues apply to consumers.

(3) The contract language is German. Communication through the Service and in contractual, customer-service and support matters takes place in German or English. Where the Service or related content is additionally displayed in English, Italian or Portuguese, those versions are provided for convenience. In the event of discrepancies or questions of interpretation, the German version prevails, without prejudice to mandatory statutory rights. The current version of these Terms is available on this page at any time and may be saved or printed.

(4) If individual provisions of these Terms are or become invalid, the validity of the remaining provisions remains unaffected.

(5) The Provider is not obliged to participate in dispute-resolution proceedings before a consumer arbitration board and does not currently participate; see the Legal Notice.
